Terms of Service

These Terms of Service ("Terms") govern your access to and use of PrincelyAI (the "Service") at princely-ai.com. PrincelyAI is a brand of an independent operator based in California ("PrincelyAI," "we," "us"). For legal or official inquiries that require the operator's full legal identity, email legal@princely-ai.com. By creating an account or using the Service you agree to these Terms. If you don't agree, do not use the Service.

1. What the Service is

PrincelyAI is an AI-assisted analysis tool for small-business and SMB acquisition deals. You submit financial information about a deal, and the Service generates a structured analysis — including scoring, valuation ranges, deal memos, and due-diligence checklists — using AI.

2. ⚠️ Not financial, investment, legal, or tax advice

The Service is an analytical tool, not professional advice. PrincelyAI is not:

• a registered investment advisor
• a broker-dealer
• a Certified Public Accountant, attorney, or licensed business broker
• a substitute for due diligence performed by qualified humans

All outputs generated by the Service — including valuations, scores, ratings, recommendations, memos, and checklists — are informational and analytical only. They are generated by AI and may be incomplete, inaccurate, or wrong. They do not constitute:

• investment advice or a recommendation to buy, sell, or pass on any business
• a professional appraisal or valuation
• legal, tax, or accounting advice
• any fiduciary commitment to you

You must independently verify all figures, conclusions, and recommendations with qualified licensed professionals — including a CPA, an attorney, a licensed business broker, and your own due diligence — before making any acquisition decision, signing any agreement, or relying on the output for any purpose. Do not rely on the Service alone for any decision involving real money.

PrincelyAI assumes no liability for decisions made based on the Service's outputs.

3. Your account

• You must be at least 18 years old to use the Service.
• You are responsible for keeping your sign-in credentials and any associated authentication secure.
• One account per person. You may not share accounts or credentials.
• You are responsible for the accuracy of the information you input.
• You must not impersonate any person or entity in your account.

4. Acceptable use

You agree not to:

• Submit information you do not have the right to submit, including information covered by a non-disclosure agreement you have not reviewed, or third-party confidential information without authorization
• Use the Service to violate any law or third-party rights
• Attempt to reverse-engineer, scrape, or systematically extract data from the Service
• Probe, test, or attempt to bypass the Service's security or rate limits
• Resell the Service's outputs to third parties as if they were your own professional advice, without our prior written permission
• Use the Service to generate content intended to defraud, harass, or harm any party

We may suspend or terminate your account for material or repeated violations.

5. Credits, subscriptions, and billing

One-time credit packs (Single Analysis, 5-pack, 10-pack):

• Each analysis you run consumes one credit.
• Credits do not expire.
• Credit purchases are non-refundable except (a) as required by law or (b) at our discretion in cases of clear product failure.

Buyer plan subscription ($29 per month):

• Includes up to 25 analyses per billing month. Your credit balance is "topped up" to 25 at the start of each renewal — purchased credit packs above 25 are not affected.
• You may cancel at any time via the "Manage subscription" button in your account or by emailing support@princely-ai.com.
• Cancellation takes effect at the end of the current billing period; you retain access through the period you've paid for.
• We do not pro-rate refunds for partial months unless required by law.

Pricing changes:

• We may change prices for future billing cycles with at least 30 days' notice via email or in-app notification.
• Your current plan's pricing will not change mid-cycle.

Payment processing:

• Payments are processed by Stripe. By providing payment information, you also agree to Stripe's terms (https://stripe.com/legal).
• We never see or store your full card number.

6. Service availability

We make reasonable efforts to keep the Service available, but we do not guarantee uptime or specific performance levels. The Service may be temporarily unavailable for maintenance, due to outages of our third-party providers (Anthropic, Cloudflare, Supabase, Stripe), or for reasons outside our reasonable control.

If the Service is unavailable for an extended period and you've been charged for a subscription month you were unable to use, contact support@princely-ai.com and we will work with you in good faith to resolve it.

7. Intellectual property

• You retain all rights to the data you submit. PrincelyAI does not claim ownership of your deal information, financial data, or anything you input.
• You own the analyses generated for you and may use them for your own purposes, subject to the disclaimers in Section 2.
• PrincelyAI retains all rights to the Service itself — the website, the application, the underlying code, prompts, design, brand, and trademarks. You may not copy, replicate, reverse-engineer, or rebuild the Service.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms, abuse the Service, or fail to pay.

• If we terminate your account for cause, any unused credits and subscription period are forfeited.
• If we terminate your account or discontinue the Service without cause (e.g., a general shutdown), we will refund any unused subscription period, on a pro-rated basis, and any unused credits purchased in the 90 days preceding termination.

9. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, PrincelyAI disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

PrincelyAI does not warrant that the Service will be uninterrupted, error-free, or accurate, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

10. Limitation of liability

To the maximum extent permitted by law:

• PrincelyAI is not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Service, including (without limitation) lost profits, lost business opportunities, lost data, or damages resulting from acquisition decisions you make.
• PrincelyAI's total aggregate liability for any claim arising out of or relating to the Service or these Terms is limited to the greater of (a) $100 USD or (b) the amount you have paid to PrincelyAI in the twelve (12) months preceding the event giving rise to the claim.
• This limitation applies even if PrincelyAI has been advised of the possibility of such damages and even if a limited remedy fails of its essential purpose.

These limitations are a fundamental part of the agreement between you and PrincelyAI. Without them, we could not offer the Service on these terms.

11. Indemnification

You agree to defend, indemnify, and hold harmless PrincelyAI and its operators, agents, and affiliates from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your misuse of the Service
• Your use of the Service's outputs to make decisions affecting third parties (including business sellers, investors, lenders, partners, or counsel)
• Your violation of any third-party right, including any NDA or confidentiality obligation
• Your violation of any applicable law

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms is the state or federal courts located in California, and you and PrincelyAI consent to personal jurisdiction in those courts.

13. Changes to these Terms

We may update these Terms as the Service evolves. We will update the "Last updated" date at the top and notify you of material changes by email or in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the changes.

14. General

• Entire agreement: These Terms (together with the Privacy Policy) constitute the entire agreement between you and PrincelyAI regarding the Service, superseding any prior agreements.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
• No waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms to a successor or affiliate.
